1. Scope and contractual basis
These conditions apply to services provided by ZOOM Logistics GmbH to businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law, insofar as they are incorporated into the relevant contract. Individual agreements take precedence. Different purchasing conditions become part of the contract only if ZOOM agrees to their application. Mandatory statutory provisions remain unaffected.
2. Quotations and conclusion of contract
This website describes potential services and allows you to submit a non-binding project inquiry. An inquiry or its download does not constitute an order. A contract is concluded through matching declarations regarding the scope of services and commercial terms, particularly through acceptance of a quotation or order confirmation. The quotation specifies its period of validity and any capacity reservations.
3. Scope of services and changes
Services may include storage, freight forwarding, goods receipt, picking, packing, dispatch preparation, fulfillment, labeling, finishing and returns. The quotation, service specification and agreed instructions are decisive. Product conformity checks, customs representation, dangerous goods handling, temperature control or technical system integrations are included only if expressly agreed. Changes are coordinated with regard to feasibility, costs and timing.
4. Information and cooperation required from the client
The client must provide complete and accurate product, quantity, weight, dimension, packaging, value and recipient data and required documents in good time. The client designates contact persons and communicates changes. Special characteristics, sensitive goods, high values, hazardous substances or special storage conditions must be expressly disclosed before handover. ZOOM will notify the client of evident ambiguities and coordinate any necessary additions.
5. Delivery, packaging and goods receipt
Delivery addresses, time slots and required accompanying documents are agreed. The client ensures packaging and labeling suitable for the agreed transport and storage, unless ZOOM has been commissioned to provide them. The nature and extent of quantity, condition or content checks are determined by the order. Accepting goods with no externally visible defects does not confirm their internal condition or marketability. Apparent discrepancies are documented and clarified with the client.
6. Storage and inventory
Storage conditions, storage locations, product allocation, inventory reports and stocktakes are defined for each project. Sensitive, hazardous, perishable or temperature-dependent goods require prior agreement. Inventory movements are documented to the agreed extent. The client checks reports received and highlights apparent discrepancies; this cooperation does not restrict statutory rights.
7. Fulfillment, dispatch and returns
Order data must be supplied in the agreed format. Packaging requirements, inserts, shipping providers, processing times and status reports are determined by the order. Without a separate agreement, a process described on this website does not include a guaranteed dispatch time. Returns are recorded, inspected and classified according to agreed criteria. Refunds to end customers, repairs, disposal or other dispositions of goods are performed only when appropriately commissioned and authorized.
8. Labeling, pricing and finishing
The client supplies approved label data, barcode or price information, design templates, materials and processing instructions unless their creation or procurement is included in the order. Position, adhesion, readability and treatment of existing labels are coordinated. ZOOM carries out the agreed work. Whether information is legally required or substantively correct, and whether labels may be changed, is checked only where expressly commissioned and legally permissible. Required warnings, identification and safety information must not be obscured or removed contrary to legal requirements.
9. Freight forwarding and service providers
The organization and execution of transport depend on the agreed contractual model. Suitable carriers or other service providers may be used to the extent permitted by law. ZOOM remains responsible under the applicable statutory provisions. Additional shipping, insurance or delivery services require agreement. An order for storage or transport alone does not establish goods insurance.
10. Remuneration and invoicing
The agreed prices and billing basis apply, plus statutory VAT where applicable. Costs for materials, shipping, storage, additional processing or returns are accounted for according to the quotation. Additional chargeable services are coordinated or governed by statutory claims, for example for necessary expenditure. Payment deadlines and billing intervals are set out in the contract; without a specific agreement, statutory rules on payment becoming due and late payment apply.
11. Deadlines and disruptions
Binding deadlines must be agreed as such. Apparent delays or obstacles will be communicated. Events outside a party's control are discussed with regard to the affected services, duration and possible alternatives. This provision does not exclude statutory rights to performance, withdrawal, termination or damages.
12. Complaints and liability
Complaints should be reported as promptly as possible, identifying the order, affected products and observed discrepancy. Statutory notification, inspection, complaint and limitation rules remain decisive. Transport, freight forwarding and storage services are subject to the applicable statutory liability rules, particularly the German Commercial Code (HGB) and, where applicable, mandatory international conventions. Other services are governed by the German Civil Code (BGB). These conditions introduce no additional blanket liability caps or exclusions.
13. Confidentiality and personal data
Non-public business, product and inventory information is treated confidentially and used only within the scope of the order or statutory obligations. Both parties comply with applicable data protection law. Where personal data is processed on behalf of a party, the parties enter into the required agreement under Article 28 GDPR before that processing begins. The client supplies only data that is necessary for providing the services and lawfully available.
14. End of contract and release of goods
Contract duration and notice periods are specified in the contract. In the absence of an agreement, statutory provisions apply. At the end of the contract, the parties coordinate the return or onward transport of goods, necessary completion work and the handover of agreed data. Statutory security and retention rights remain unaffected. The end of the contract alone does not authorize destruction or other disposal of goods.
15. ADSp, governing law and final provisions
The ADSp 2017 or other industry conditions do not apply merely because they are mentioned on this website. Their application requires a corresponding contractual agreement; when incorporated, their version and scope must be clearly identified. German law applies, subject to mandatory international provisions. This website does not establish an exclusive place of jurisdiction. Invalid provisions are replaced by statutory rules; no reduction of an invalid provision to a legally permissible extent is agreed.
